Vault has some specific security requirements which are easier to implement on a VM than on Kubernetes (though there's some debate as to whether these are needed). Being a security-focused product, Vault is also often run on dedicated nodes - this somewhat defeats one of the purposes of Kubernetes in general (node binpacking). As far as downsides, that's really dependent on the Vault configuration - but those downsides don't really change whether you're on dedicated VMs or on k8s.
